SERVICE AGREEMENT.

This Master Services Agreement ("Agreement") governs the provision of sales infrastructure services by Fresh Franchise Solutions ("Provider") to the Client. By initializing our system, you agree to these binding terms.

1. Service Scope

Provider agrees to deploy and manage sales automation infrastructure, including but not limited to:

  • CRM Integration & Data Sync
  • Outbound Sales Development (SDR) Services
  • Automated Workflow Execution

2. Performance & SLAs

While we strive for maximum performance, specific results (e.g., conversion rates) depend on market conditions and lead quality. We guarantee:

  • 99.9% System Uptime
  • < 5 Minute Lead Response Time (during operating hours)
  • Weekly Performance Reporting

3. Payment & Billing

Services are billed on a recurring monthly basis. Payment is due upon invoice receipt. Failure to pay within 7 days may result in immediate service suspension. All fees are non-refundable.

4. Liability & Indemnification

Provider's liability is limited to the total fees paid by Client in the 3 months preceding the claim. Client agrees to indemnify Provider against claims arising from Client's misuse of the system or violation of TCPA/GDPR regulations.

5. Termination

Either party may terminate this agreement with 30 days written notice. Upon termination, Provider will assist in the orderly transition of data and assets.
